Joint Ventures

Our lawyers have structured a wide variety of joint ventures and strategic alliances between the parties desiring to exploit their combined resources, employees, manufacturing capabilities, skills, experience, and intellectual capital. The subject matter of these transactions has ranged from the creation of a large national wireless network to manufacturing joint ventures aimed at expanding the customer base to a joint venture between a health insurance company and a large consumer software company.  The parties to joint ventures need counseling as to the appropriate approach, from an arms’-length commercial contract to a deeper strategic commercial relationship to a joint venture.  We provide guidance through the maze of thorny issues, including as to the scope of the relationship, whether to contribute or license and ownership of intellectual property.  Rarely are these transactions “cookie-cutter,” and they necessitate knowledge of alternative ways of structuring, as well as creativity.
