Technology Transactions.

We collaborate with our clients on each transaction and provide industry experience, an understanding of technology, deep familiarity with the typical terms of similar transactions, creativity and business expertise.  Our technology and communications clients include both technology companies –the creators and providers of technologies– and technology-enabled companies– businesses that depend on technology.  The firm also represents venture capital funds, private equity funds and other financing sources for technology companies. We help clients find ways to accomplish business objectives through strategic relationships, such as acquiring rights in or developing technologies or platforms or investing in emerging technologies. While our focus is on representing established companies, we selectively represent promising emerging businesses. 

Mergers and Acquisitions.   We have experience structuring, negotiating and documenting the purchase or sale of technology and telecommunications companies, as well as assets and businesses in which technology plays a significant part. 

Angels and Venture Capital.  We represent both technology companies and tech investors, including angels, venture capital funds and institutional investors, in financing transactions. We help our technology company clients find financing at all stages, from seed and angel capital to later stage funding, through our extensive contacts with sources of capital, including angel investors, regional, national and international venture capital firms and strategic investors.  Our clients appreciate our familiarity with market terms and relevant industry experience.

Private Placements and the AIM Market. Our lawyers represent issuers and placement agents in private placements of equity and debt securities and other major financing transactions.  In addition to US offerings, we have a particular expertise in representing US companies seeking to list on the AIM market of the London Stock Exchange or de-list from AIM. 

Joint Ventures and Strategic Alliances.  Our lawyers have structured a wide variety of joint ventures and strategic alliances between the providers of technology and their customers to exploit their combined skills, experience, and intellectual capital. The parties to such a relationship need counseling as to the appropriate approach, from an arms’-length commercial relationship to a deeper strategic commercial relationship to a joint venture.  We provide guidance through the maze of thorny issues, including as to the scope of the relationship and ownership of intellectual property.  Rarely are these transactions “cookie-cutter,” and they necessitate knowledge of alternative ways of structuring, as well as creativity.

Business Formations.  We have many years of experience assisting in the formation of new technology businesses.  Our advice up front anticipates and helps avoid issues that may arise among the company, its founder, its management and its investors.  In particular, we provide thoughtful counseling as to the form of entity, the relationships among equity holders and the ways of rewarding management. 

Fund Formations.  We facilitate the formation of private equity, venture capital and hedge funds, including funds that invest in the tech sector. 

Strategic Advice as to IP Assets.  We work  with our clients’ intellectual property consultants and lawyers to develop and implement strategies to maximize value from innovation by protecting key IP assets and finding ways to exploit these assets and to maximize our clients return on their investment.  In particular, we have represented the acquirors of IP portfolios and their related financings and actions to monetize their investments.

Commercial Transactions. We provide experienced counsel to clients in a wide range of complex commercial transactions, including the sale or procurement of technology goods and services, the licensing of technology, content and data, and commercial arrangements for the commercialization and exploitation of IP-based assets and services, including licensing, joint ventures, distribution agreements and strategic alliances.

Sourcing. We assist our clients in procuring goods, technologies and services from third-party providers for use in the client’s operations, including the sourcing of services for IT and for other key business processes from third-party providers within and outside the United States.
